Acceptance of These Terms
By accessing or using Meridyan, you agree to these Terms of Service and our Privacy Policy. If you do not agree, do not use the services.
If you use Meridyan on behalf of a company, artist, team, or other organization, you represent that you have authority to bind that organization to these Terms.
Eligibility and Accounts
You must be legally able to enter into a binding agreement to use Meridyan. If you are under the age of majority in your jurisdiction, you may use the services only with appropriate permission and supervision.
You are responsible for maintaining the confidentiality of your account credentials, for all activity that occurs under your account, and for promptly notifying us of any suspected unauthorized access.
The Services
Meridyan provides a platform that helps independent musicians and creative teams centralize financial and operating information, connect data sources, review documents, track revenue and costs, manage workflows, and receive analysis, insights, and recommendations.
Features may change over time, and certain tools may be offered on a pilot, beta, invite-only, free, or paid basis.
Organization Workspaces and Permissions
Some Meridyan features are organized around workspaces, organizations, or teams. Workspace administrators may be able to invite users, manage permissions, and access information associated with that workspace.
If you join a workspace administered by another person or organization, your access and use may also be subject to that workspace's internal policies and controls.
Connected Services and Third Parties
Meridyan may let you connect third-party services or rely on third-party providers for authentication, payments, analytics, storage, communications, financial data access, and similar functions.
Your use of third-party services is governed by their own terms and privacy policies. Meridyan is not responsible for third-party products or services that we do not control.
Fees and Payments
Some parts of Meridyan may be offered free of charge, while others may require payment. If fees apply, we will disclose the relevant pricing and billing terms before you incur them.
Unless otherwise stated in a separate written agreement or required by law, fees are non-refundable once paid.
Acceptable Use
You agree not to misuse Meridyan or help anyone else do so.
- Use the services in violation of any applicable law, regulation, or third-party right.
- Upload malicious code, interfere with the security or operation of the services, or attempt to gain unauthorized access to accounts, systems, or data.
- Copy, scrape, frame, mirror, reverse engineer, or otherwise exploit the services except as expressly permitted by law or by us in writing.
- Use the services to send spam, engage in fraud, impersonate another person, or transmit unlawful, infringing, defamatory, or harmful content.
- Use automated methods to access the services in a manner that places an unreasonable load on our systems or bypasses our access controls.
Your Content and Inputs
You retain ownership of content, documents, records, and other materials you upload to Meridyan or submit through the services.
You grant Meridyan a non-exclusive, worldwide, limited license to host, store, reproduce, process, transmit, and display your content as necessary to operate, secure, improve, and provide the services to you and your authorized users.
You represent that you have all rights necessary to provide your content and that our use of it as permitted by these Terms will not violate any law or third-party rights.
Intellectual Property and Feedback
Meridyan and its related software, design, content, trademarks, and other materials are owned by us or our licensors and are protected by intellectual property laws.
If you provide suggestions, ideas, or feedback, you allow us to use them without restriction or compensation to you.
Product Outputs and No Professional Advice
Meridyan may generate analytics, forecasts, categorizations, summaries, recommendations, or other outputs based on the data available in the platform. Those outputs are informational tools only and may not be complete, current, or error-free.
Meridyan does not provide legal, tax, accounting, audit, investment, insurance, employment, or fiduciary advice. You are responsible for reviewing outputs and making your own decisions, including whether to consult qualified professionals.
Availability and Changes
We may modify, suspend, or discontinue any part of Meridyan at any time, with or without notice, to the extent permitted by law.
We are not obligated to make any feature available indefinitely, and we may impose limits on certain features or access levels.
Disclaimers
To the maximum extent permitted by law, Meridyan is provided on an 'as is' and 'as available' basis, without warranties of any kind, whether express, implied, or statutory.
We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty that the services will be uninterrupted, secure, accurate, or error-free.
Limitation of Liability
To the maximum extent permitted by law, Meridyan and its affiliates, officers, employees, agents, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, goodwill, data, or business opportunities arising out of or related to your use of the services.
To the maximum extent permitted by law, the total liability of Meridyan for all claims arising out of or relating to the services or these Terms will not exceed the greater of the amount you paid to Meridyan for the services in the 12 months before the event giving rise to the claim or 100 U.S. dollars.
Indemnification
You agree to defend, indemnify, and hold harmless Meridyan and its affiliates, officers, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to your content, your misuse of the services, or your violation of these Terms or applicable law.
Termination
You may stop using Meridyan at any time. We may suspend or terminate your access if we believe you have violated these Terms, created risk for us or others, or if we are required to do so by law.
Sections that by their nature should survive termination will survive, including sections relating to intellectual property, disclaimers, limitations of liability, indemnification, and dispute-related matters.
Changes to These Terms
We may update these Terms from time to time. If we make material changes, we may provide notice through the services or by other reasonable means.
By continuing to use Meridyan after updated Terms become effective, you agree to the revised Terms to the extent permitted by law.
